These Terms of Service (“Terms”) govern your access to and use of MechByte Global’s websites, platforms, applications, software, and services (collectively, the “Services”).

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, please do not use the Services.

1. About MechByte

MechByte Global (“MechByte”, “we”, “our”, or “us”) is a Saudi-based technology company providing digital platforms, fleet management solutions, IoT integrations, analytics, and related services to businesses and organizations.

2. Eligibility & Authority

By using the Services, you confirm that:

  • You are legally permitted to enter into this agreement

  • You are acting on behalf of yourself or a legally authorized business entity

  • Any information you provide is accurate and up to date

If you are using MechByte on behalf of a company, you represent that you have authority to bind that company to these Terms.

3. Scope of Services

MechByte provides software platforms and related services, which may include:

  • Fleet and asset management tools

  • Data analytics and reporting

  • IoT device integrations

  • Web and mobile applications

  • Support and onboarding services

Specific features may vary by plan, product, or agreement. We may update, improve, or modify the Services from time to time.

4. User Accounts & Responsibilities

You are responsible for:

  • Maintaining the confidentiality of your account credentials

  • All activity that occurs under your account

  • Ensuring authorized use by your employees or users

  • Complying with applicable laws and regulations

You must not:

  • Use the Services for unlawful or abusive purposes

  • Attempt to access systems or data you are not authorized to access

  • Reverse engineer, copy, or misuse the platform

  • Interfere with the security or performance of the Services

5. Customer Data & Ownership

  • All operational, fleet, or business data submitted by customers remains owned by the customer.

  • MechByte processes such data solely to deliver and improve the Services.

  • You are responsible for ensuring you have the legal right to collect and share data uploaded to the platform, including driver or vehicle data.

MechByte may use anonymized and aggregated data for analytics, benchmarking, and service improvement.

6. Privacy & Data Protection

Your use of the Services is subject to our Privacy Policy, which explains how we collect and process personal data in compliance with Saudi PDPL.

By using the Services, you acknowledge and agree to the Privacy Policy.

7. Third-Party Integrations

The Services may integrate with third-party devices, platforms, or services (such as GPS hardware, IoT sensors, or APIs).

MechByte:

  • Is not responsible for third-party products or services

  • Does not guarantee their availability or performance

  • Is not liable for issues caused by third-party providers

Use of third-party services is subject to their own terms and policies.

8. Fees & Payments (If Applicable)

  • Certain Services may require payment under a subscription, usage, or contract-based model.

  • Fees, billing terms, and payment schedules will be agreed separately.

  • All fees are non-refundable unless explicitly stated otherwise.

Failure to pay may result in suspension or termination of access.

9. Service Availability & Support

We aim to provide reliable and continuous service, but we do not guarantee uninterrupted or error-free operation.

Maintenance, updates, or technical issues may occasionally result in limited availability.

Support levels may vary based on your plan or agreement.

10. Intellectual Property

All intellectual property related to the Services, including software, designs, trademarks, logos, and content, is owned by MechByte or its licensors.

You are granted a limited, non-exclusive, non-transferable right to use the Services during the term of your agreement.

You may not copy, modify, distribute, or exploit MechByte’s intellectual property without written permission.

11. Suspension & Termination

MechByte may suspend or terminate access if:

  • These Terms are violated

  • The Services are misused

  • Required by law or regulation

  • There is a security or operational risk

You may stop using the Services at any time. Upon termination, access to the Services may be disabled, and data retention will follow our legal and contractual obligations.

12. Disclaimer of Warranties

The Services are provided “as is” and “as available”.

To the extent permitted by law, MechByte disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

13. Limitation of Liability

To the maximum extent permitted by Saudi law:

  • MechByte shall not be liable for indirect, incidental, or consequential damages

  • MechByte is not responsible for business losses, data loss, or service interruptions beyond reasonable control

  • Total liability, if any, shall not exceed the fees paid by the customer during the applicable period

14. Indemnification

You agree to indemnify and hold MechByte harmless from claims, damages, or losses arising from:

  • Your use of the Services

  • Violation of these Terms

  • Violation of applicable laws or third-party rights

15. Governing Law & Jurisdiction

These Terms are governed by the laws and regulations of the Kingdom of Saudi Arabia.

Any disputes shall be subject to the exclusive jurisdiction of the competent courts of Saudi Arabia, unless otherwise agreed.

16. Changes to the Terms

We may update these Terms from time to time. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
